Organization charter

Chapter 1 General Provisions

Article 1 The name of the association is Kinmen County Homestay Tourism Development Association (hereinafter referred to as the Association).

Article 2 This association is a non-profit social organization established in accordance with the law. Purpose of the Association:
1. Utilize traditional southern Fujian architecture, local natural cultural landscape, and ecological environment resources to combine tourism and tourism industries to promote the development of homestays.
2. Promote interaction, observation, exchange, and study among the industry, and provide complete travel information.
3. Improve the quality of tourist accommodation and catering services, and create better business opportunities for tourism development in the county.

Article 3 This association uses the administrative area of ​​Kinmen County as its organizational area.

Article 4 The meeting place of the association is located in the area where the competent authority is located, and the establishment of branches may be reported to the competent authority for approval.

Article 5 The tasks of the Association are as follows:

1. Matters related to promoting the development of the homestay industry and exchanges and cooperation between organizations and agencies.

2. Matters related to assisting members in establishing and operating homestays.

3. Matters concerning the promotion of strategic alliances in the homestay industry and related industry exchanges.

4. Matters concerning the promotion of homestay classification and integrated marketing.

5. Matters concerning the maintenance of the rights and interests of members operating homestays.

6. Matters related to inviting experts and scholars to hold homestay management seminars and education training.

7. Handle various art and culture, sustainable ecology, environmental protection, vocational education, local cultural experience promotion and other activities related to other public and private organizations, groups or individuals. For statutory exclusive tasks, the association cannot be sponsored or listed as a sponsored project, but those who can be co-organized may be listed as co-organized projects.

8. Other related matters.

Article 6 The competent authority of the Association is the Kinmen County Government. The target business shall be guided and supervised by the competent authority of the business.

Reason for the case: The new content of the association's articles of association includes matters related to local cultural experience.

Note: The new content in Chapter 1 of the General Provisions of the Amendment to the Articles of Association includes the promotion of local cultural experience, and obtaining and contracting government commissions and tenders related to the business of the Association.

Resolution: Select a day to invite the board of directors and supervisors to revise the general provisions of Chapter 1 of the General Provisions of the Articles of Association of the organization, and send it to the Social Department for reference.

Chapter 2 Members

Article 7 Except that the sponsors of this association are all basic members of the association, anyone who agrees with the purpose of the association and meets one of the following qualifications shall be introduced by two or more members of the association, approved by the board of directors of the association, and paid dues Later you have to be a basic member of the Association.

1. Basic members: Those who have the nationality of the Republic of China, are registered in Kinmen, are at least 20 years old, and are a legal homestay business in Kinmen, they can fill in the application form to apply for the basic members of the association, and the association will be approved by the council The basic membership. A homestay registration certificate is a membership.

2. Sponsoring members: Those who have the nationality of the Republic of China, are registered in Kinmen, are at least 20 years old, have the capacity to act, and agree with the purpose of the association, they may fill in an application for membership, which is approved by the board of directors as a sponsoring member of the association. Sponsoring members have the same except for Article 8 rights.

3. Honorary members: Anyone who has made a special contribution to the Association in his own country and passed the resolution of the Manager and Supervisory Committee can be an honorary member of the Association. The rights and interests of the basic members are the same except for the rights of Article 8.

Article 8 In addition to sponsoring members and honorary members, members have the right to vote, to vote, to be elected, and to recall. Each basic member has one right.

Article 9 Members have the obligation to abide by the articles of association, resolutions and pay dues.

Article 10 When a member violates laws, regulations, or fails to comply with the resolutions of the General Assembly, it may be given a warning or suspension of power by the resolution of the Board of Directors. If the circumstances are serious, the group may be delisted by the resolution of the General Assembly.

Article 11 A member who has one of the following circumstances shall be a member:

1. Those who have lost membership.

2. Those who are delisted by the resolution of the General Assembly.

3. Those who have one of the following circumstances may immediately revoke their membership:

1. Those who are determined by criminal judgment or are on the wanted list.

2. The crime is confirmed by a sentence of imprisonment or has not been executed.

3. Those who have seized public power and have not yet restored their power.

4. The prohibition of property management has been announced and has not been cancelled.

5. Those who use the name and seal of the Association without the consent of the Association, and those who use the name, righteousness and seal of the Association with the consent of the Association, but commit illegal acts that affect the reputation and image of the Association.

6. The membership fee has not been paid, and the membership has not been paid for more than three months.

7. If the legal homestay is closed or cancelled, it will become a sponsor member immediately.

Article 12 Members can declare their withdrawal to the association in writing and stating reasons.

Article 13 The fees paid by members will not be refunded if they leave or quit or become sponsor members.

Chapter III Organization and Powers

Article 14 The council takes the general meeting of members as the highest authority; the board of directors is the executive body; and when the general meeting is not in session, it acts on its behalf; the board of supervisors is the supervisory agency.

Article 15 The functions and powers of the general assembly are as follows:

1. Draft or change the articles of association.

2. Election or removal of directors and supervisors.

3. Discuss the amount and method of admission fee, annual membership fee, service fee and member donation.

4. Discuss the annual work plan, report, budget and final accounts.

5. Discuss the delisting of members.

6. Discuss on the disposition of property.

7. To resolve the dissolution of the Association.

8. Resolutions on other major issues related to the rights and obligations of members.

The scope of major matters in the eighth paragraph of the preceding paragraph shall be prescribed by the board of directors.

Article 16 The association shall have eleven directors and three supervisors, elected by the members, and establish a board of directors and a board of supervisors. The directors, supervisors, alternate directors and alternate supervisors shall be members of the Association.

When electing the directors and supervisors mentioned in the preceding paragraph, three alternate directors and one alternate supervisor shall be selected at the same time. In case of vacancies in the directors or supervisors, they shall be filled in order, subject to the remaining term of the original director. The ranking of the directors, supervisors, alternate directors, and alternate supervisors shall be based on the number of votes they receive. When the number of votes is the same, they shall be determined by drawing lots.

The board of directors may propose a reference list of candidates for the next term of directors and supervisors.

Article 17 The functions and powers of the council are as follows:

1. Implement the resolutions of the general meeting.

2. Examine the qualifications of members.

3. Election or removal of directors or directors.

4. To resolve the resignation of the director or the director.

5. Hiring and dismissing the Director-General.

6. Draft annual work plans, reports, budgets, and final accounts.

7. Review and review the rules of the association.

8. Other matters to be implemented.

Article 18 The board of directors shall elect one of the directors as its chairman.

The chairman of the board of directors comprehensively manages the affairs of the meeting internally, represents the association externally, and serves as the chairman of the general assembly and the board of directors.

When the chairman of the board is unable to perform his duties for some reason, he shall appoint one of the directors to act as his agent; when he cannot be appointed, one of the directors shall act as his agent.

When the chairman is vacant, a by-election shall be made within 30 days.

Article 19 The functions and powers of the board of supervisors are as follows:

1. Supervise the implementation of the work of the council.

2. Review the annual final accounts.

3. Election or removal of supervisors.

4. To resolve the resignation of supervisors or standing supervisors.

5. Other matters to be monitored.

Article 20 The board of supervisors shall have a standing supervisor, who shall be selected by each other to supervise the daily affairs of the board of supervisors and serve as the chairman of the board of supervisors.
When standing supervisors are unable to perform their duties due to their duties, they shall appoint one supervisor to act as their agent. If they are not appointed or unable to do so, the supervisors shall appoint one of them to act as their agent.
When the chairman of the board of supervisors (executive supervisor) becomes vacant, a by-election shall be made within one month.

Article 21 The term of office of the directors and supervisors shall be calculated from the day when the first board of directors of the current term is added. The term of office is 32 years. Re-elected may be re-elected, and the re-election of the chairman of the board shall be limited to one time.

Article 22 The directors and supervisors are all unpaid.

Article 23 Directors and supervisors who have one of the following circumstances shall be dismissed immediately.

1. Those who have lost membership.

2. The resignation for some reason is approved by the board of directors or the board of supervisors.

3. Those who are removed or withdrawn.

4. One-half of the term of office is exceeded during the suspension period.

5. The directors and supervisors shall attend the meetings of directors and supervisors in person, and shall not entrust others to act as agents; two consecutive absences without cause shall be deemed to have resigned, and alternate directors and alternate supervisors shall be replaced in turn.

Article 24 The association has a director-general, nominated by the chairman, appointed and dismissed by the board of directors, and reported to the competent authority for reference. The same goes for dismissal.

Article 25 The directors and supervisors of this committee shall not serve as the director general, part-time conference affairs or full-time staff of the preceding paragraph.

Article 26 The Association may set up various committees, groups or other internal operating organizations, and the organization rules shall be implemented after the approval of the board of directors, and the same shall apply to changes.

Article 27 The council may employ several consultants by the board of directors (all are voluntary, and the consultants shall not exceed one third of the number of directors), whose term of office is the same as that of directors and supervisors.

Chapter 4 Meeting

Article 28 The general meeting of members is divided into two types: regular and ad hoc meetings, which are convened by the chairman of the board of directors. When convening, except for the ad hoc meeting for emergencies, it shall be notified in writing within the 15th day.

Regular meetings are held once a year; temporary meetings are held when the board of directors deems it necessary, or once a year by the regular meeting of members; temporary meetings are held when the board of directors deems it necessary, or at the request of more than one-fifth of the members, or when a letter from the board of supervisors is requested .

After the association has processed the legal record, the temporary meeting shall be held at the request of more than one-tenth of the members.

Article 29 When a member cannot attend the general meeting in person, he can entrust another member to act as an agent in writing, and each member is limited to one agent.

Article 30 The resolutions of the general meeting shall be made with the attendance of more than half of the members and the consent of half or more of the attendees. However, resolutions on the following matters shall be agreed upon by more than two-thirds of the participants.

1. Formulation and modification of the articles of association.

2. Delisting of members.

3. Removal of directors and supervisors.

4. Disposition of property.

5. Dissolution of the group.

6. Other important matters related to the rights and obligations of members.

After the association has registered as a legal person, changes to the articles of association shall be subject to the consent of more than three-quarters of the attendees or the written consent of more than two-thirds of all members. The dissolution of the Association may be resolved at any time by more than two-thirds of all members.

Article 31 The board of directors shall be convened every six months, and the board of supervisors shall be convened every six months, and joint meetings or ad hoc meetings may be convened when necessary.

When convening the aforementioned meeting, except for an extraordinary meeting, a written notice shall be given seven days in advance; resolutions of the meeting shall be made with the attendance of more than half of the directors and supervisors and the consent of more than half or more of the attendees.

Article 32 The Association shall report the type, time, and location of the meeting to the competent authority for reference 15 days before the convening of the general meeting, or seven days before the convening of the board of directors and the board of supervisors. The minutes of the meeting shall be reported to the competent authority for reference within 30 days after the meeting is closed.

Chapter 5 Funds and Accounting

Article 33 The sources of funds for the Association are as follows:

1. Admission fee:

Basic membership: NT$ one thousand.

Sponsoring members: NT$10.

2. Annual membership fee:

Basic membership: NT$ one thousand and two hundred.

Sponsoring members: NT$500.

The above membership fees are adjusted annually by the board of directors according to the price index, and implemented after being reviewed by the board of directors and supervisors.

3. Futures gold and its fruits.

4. Member donations.

5. Commission income.

6. Service fees.

7. Other income.

All income, in addition to the necessary expenses for maintaining the conference affairs to perform the tasks listed in Article 6, if there is any surplus, it will be used as the funds for the promotion of various activities of the conference and used in a coordinated manner.

Article 34 The accounting year of the Association starts from January 1st to December 31st each year. Its current income and expenditure accounts are submitted to the board of supervisors for review by the chairman of the board every six months.

Article 35 The Association prepares a budget (final) report every year, which shall be reviewed by the board of directors and submitted to the general assembly for approval within two months before (after) the end of each year, and submitted to the competent authority for approval. When the general meeting of members fails to be held in time for some reason, it shall be reported to the competent authority first, and then submitted to the general meeting for ratification, but the final accounts report shall be first sent to the board of supervisors for review and the results of the review shall be submitted to the general meeting of members.

Article 36 After the dissolution of the Association, the remaining properties belong to the local autonomous organization or the organization designated by the competent authority.

Chapter VI Supplementary Provisions

Article 37 Matters not stipulated in the articles of association of the Association shall be handled in accordance with relevant laws and regulations.

Article 38 The rules governing the affairs of this association shall be determined by the board of directors.

Article 39 The articles of association of the Association shall be implemented after being approved by the general meeting of members and submitted to the competent authority for approval. The amendment is also the same.
